These Terms of Use (“Terms”) govern your access to and use of the website operated by Neil M. O’Connor (the “Site”), including any downloadable resources, newsletter, contact forms, and related services offered through the Site. By using the Site, you agree to these Terms. If you do not agree, please do not use the Site.

1. Who we are

You may use the Site for lawful, personal or internal business purposes, including to learn about books, speaking, resources, and to contact us. You agree not to:

  • Use the Site in any way that violates applicable law or infringes the rights of others;
  • Attempt to gain unauthorized access to the Site, its systems, or any user data;
  • Introduce malware, scrape the Site in a way that harms performance or misrepresents content, or use automated means to access the Site in bulk without our prior written consent;
  • Use the Site to send spam, harass others, or distribute misleading or defamatory content.

We may suspend or restrict access if we reasonably believe these Terms have been violated.

3. Intellectual property

Content on the Site—including text, graphics, logos, layout, photographs, videos, and downloadable materials—is owned by Neil M. O’Connor or used with permission, and is protected by copyright, trademark, and other intellectual property laws.

You may view and print a reasonable number of copies of pages for personal or internal business use. You may not copy, reproduce, republish, sell, or distribute Site content for commercial purposes without our prior written permission, except where we expressly offer a resource for download under stated terms (e.g., free toolkit PDFs).

Strategic Revenue Enablement and other marks may be trademarks or trade names; unauthorized use is not permitted.

4. Resources, downloads, and email

Where we offer free downloads or email updates, you agree to provide accurate information and to use those materials only as intended. Newsletter and form submissions are subject to our Privacy Policy. You may unsubscribe from marketing emails using the link provided in those messages.

5. No professional advice

Content on the Site—including articles, frameworks, tools, and book excerpts—is for general information and education. It is not legal, financial, tax, or other professional advice. You are responsible for how you apply any ideas in your own organization; consult qualified professionals where appropriate.

6. Speaking, consulting, and third parties

Inquiries submitted through the Site do not create a contract until terms are agreed in writing. Links to third-party sites (e.g., publishers, retailers, social platforms) are provided for convenience; we are not responsible for their content or practices.

7. Disclaimer of warranties

The Site and its content are provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted or error-free.

8. Limitation of liability

To the fullest extent permitted by applicable law, Neil M. O’Connor and his affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill, arising from your use of the Site or any content, even if advised of the possibility of such damages. Our total liability for any claim arising from these Terms or the Site will not exceed the greater of (a) the amount you paid us specifically for the service giving rise to the claim in the twelve (12) months before the claim, or (b) one hundred Canadian dollars (CAD $100), if you paid nothing for that service.

Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the maximum extent permitted by law.

9. Indemnity

You agree to defend and indemnify Neil M. O’Connor against any claims, damages, losses, or expenses (including reasonable legal fees) arising from your misuse of the Site or violation of these Terms, to the extent permitted by law.

10. Governing law

These Terms are governed by the laws of Canada and the province or territory in which Neil M. O’Connor primarily resides or operates the Site, without regard to conflict-of-law rules. You agree to the non-exclusive jurisdiction of the courts located there, except where consumer protection law requires otherwise.
